Terms of Service

These Terms of Service ("Terms" or "Agreement") constitute a binding agreement between you ("User," "you," or "your") and SHARE SFR Technologies Inc., a Delaware corporation, including its products, services, and divisions, including Pocket (formerly PocketAM™) ("SHARE," "Pocket," "we," "us," or "our").

Pocket is offered strictly for business and investment purposes. By accessing or using the Service, you represent and warrant that you are acting in a commercial, professional, or investment capacity and not as a consumer.

1. Agreement to Terms

By accessing or using the Pocket platform, software, tools, dashboards, integrations, or related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Definitions

"Service" means the Pocket platform and all related software, analytics, automations, data integrations, and services operated by SHARE.
"User" means any property owner, investor, entity, or authorized representative accessing the Service.
"Affiliate" means any third-party lender, insurer, broker, advisor, service provider, technology partner, or referral partner with whom SHARE maintains a commercial relationship.
"User Data" means any data, documents, credentials, financial information, property information, or content provided by or on behalf of the User.
"Derived Data" means analytics, insights, calculations, models, reports, benchmarking, or outputs generated by the Service.
"Third-Party Portals" means any external platform, portal, system, API, or service to which the User grants access, directly or indirectly.

3. Nature of the Service

Pocket is an asset management, analytics, and data-enabled platform. Pocket does not provide legal, tax, accounting, investment, insurance, lending, or fiduciary advice, and does not act as a broker, lender, insurer, or property manager.

All outputs are informational only. You remain solely responsible for all decisions and actions taken based on information provided through the Service.

4. User Data Authorization and Access Rights

4.1 Broad Authorization

By accepting these Terms, you expressly authorize SHARE to obtain, access, collect, retrieve, copy, store, process, analyze, use, and share User Data from any source, including Property Managers, financial institutions, lenders, insurers, service providers, and Third-Party Portals.

This authorization applies whether initiated by you or automatically by the Service and satisfies any consent requirements under agreements between you and third parties.

4.2 Ongoing and Automated Access

You authorize SHARE to access, refresh, and update User Data on a recurring, continuous, and automated basis, without additional notice or consent, for as long as your account remains active or until access is revoked where technically feasible.

4.3 Credential Storage and Delegated Access

You authorize SHARE to:

store login credentials where required;
use secure tokens, APIs, redirects, or delegated authentication mechanisms;
re-authenticate and maintain persistent access as necessary to operate the Service.

SHARE assumes no responsibility for the security, accuracy, availability, or behavior of any Third-Party Portal.

4.4 Use of Data for Commercial Purposes

You acknowledge and agree that User Data may be used to:

solicit quotes, offers, or terms;
pre-qualify or pre-screen you for third-party services;
compare providers and surface alternatives;
periodically re-shop or reassess services;
facilitate referrals or introductions to Affiliates.

5. Affiliate Relationships and Compensation

You acknowledge and agree that SHARE and Pocket may receive referral fees, commissions, revenue sharing, or other forms of compensation from Affiliates in connection with services, products, or offers made available through the Service.

Such compensation arrangements may influence which services, providers, or alternatives are surfaced, displayed, ranked, or presented. SHARE has no obligation to identify or present the lowest-cost or most favorable option.

Nothing in these Terms creates any fiduciary duty, agency relationship, or obligation of loyalty to the User.

6. Ownership of Data

You retain ownership of your User Data.

SHARE retains all right, title, and interest in:

Derived Data;
aggregated or anonymized datasets;
platform analytics;
algorithms, models, and system outputs.

SHARE may use aggregated and anonymized data without restriction.

7. Fees, Billing, and Pricing Adjustments

7.1 Fees

Use of the Service may require payment of subscription fees, usage-based fees, or third-party pass-through fees.

7.2 Immediate Pricing Adjustments

SHARE reserves the right, in its sole discretion, to modify pricing, fees, plans, or billing structures at any time, effective immediately, without prior notice.

Pricing changes may apply to:

existing subscriptions;
current billing periods;
newly introduced or existing features.

Continued access or use of the Service after a pricing change constitutes acceptance. Your sole remedy if you disagree is to discontinue use. No refunds will be provided, including for partial billing periods.

8. Acceptable Use

You may not misuse the Service, including by:

reverse engineering or scraping;
introducing malicious code;
interfering with system integrity;
using the Service for non-business or deceptive purposes.

9. Account Suspension and Termination

SHARE reserves the right, in its sole discretion and without notice, to suspend, restrict, or terminate any account that is:

inactive;
duplicate;
fraudulent or misrepresented;
suspicious or abusive;
inconsistent with the intended business or investment use of the Service;
deemed to pose legal, regulatory, operational, or reputational risk.

SHARE has no obligation to provide notice, explanation, or opportunity to cure. Upon termination, access to data may be lost, and SHARE bears no liability for resulting impacts.

Sections relating to data rights, Derived Data, disclaimers, limitation of liability, and affiliate compensation shall survive termination.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, SHARE disclaims all warranties and shall not be liable for any indirect, incidental, consequential, punitive, or special damages.

11. Modifications

SHARE may modify these Terms or the Service at any time. Continued use constitutes acceptance of modified Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in Delaware. Class actions are waived.
